Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and CSN Peps LLC, a Wyoming limited liability company ("CSN Peps," "we," "us"), governing your access to and use of the website located at csnpeps.com (the "Site") and any products, services, or content offered through the Site (collectively, the "Services").

By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You may use the Services only if all of the following are true:

1. you are at least twenty-one (21) years of age;
2. you are accessing the Site from within the United States;
3. you are purchasing products solely for lawful laboratory or scientific research purposes and not for any human, veterinary, clinical, diagnostic, therapeutic, or in vivo use;
4. you have the legal authority to enter into this agreement, and if entering on behalf of an entity, you have authority to bind that entity; and
5. you are not located in a jurisdiction where the purchase, possession, or use of the products is prohibited by applicable law.

We reserve the right to refuse service, terminate accounts, cancel orders, limit quantities, request additional information regarding intended use, or refuse shipment to any person at our sole discretion, including where we have reason to believe that the requirements of this Section 2 are not met.

3. Research Use Only — Critical Disclaimer

You expressly acknowledge and agree that:

1. the products are NOT intended for use in humans or animals, including but not limited to ingestion, injection, inhalation, topical application, or any in vivo administration;
2. the products are NOT sold or marketed as approved drugs, dietary supplements, cosmetics, or medical devices;
3. the products have NOT been approved by the U.S. Food and Drug Administration ("FDA") for any use;
4. no representation is made that the products are safe or effective for any particular use; and
5. the products are NOT intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.

By placing an order, you represent and warrant that you will not use, redistribute, sell, or transfer the products for any purpose other than legitimate scientific or laboratory research, and you accept full responsibility for ensuring that your use of the products complies with all applicable laws and regulations.

4. No Medical Advice

The products and information provided through the Services are offered solely for lawful laboratory and scientific research purposes. CSN Peps does not provide medical, healthcare, or treatment advice, and nothing contained on the Site should be interpreted as a recommendation for any human or veterinary use.

5. Account Registration

To place orders, you may be required to create an account. You agree to:

1. provide accurate, current, and complete information during registration;
2. maintain the accuracy of your account information;
3. maintain the security of your password and accept all risks of unauthorized access to your account; and
4. promptly notify us at [email protected] of any suspected unauthorized use of your account.

You are responsible for all activities that occur under your account.

6. Orders, Pricing, and Payment

Order Acceptance. All orders are subject to acceptance by us. We reserve the right to refuse, cancel, or limit any order at our sole discretion at any time prior to shipment, including for reasons including but not limited to suspected violation of these Terms, product unavailability, errors in pricing or product descriptions, suspected fraud, or concerns regarding intended use.

Pricing. All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to correct pricing errors at any time.

Payment. Payment is required at the time of order. We accept the payment methods listed at checkout. By providing payment information, you represent that you are authorized to use the payment method and authorize us (or our payment processor) to charge the full amount of the order.

Taxes. You are responsible for all applicable sales, use, and other taxes associated with your purchase, except for taxes on our net income.

7. Shipping and Delivery

Domestic Only. We ship within the United States only. We reserve the right to restrict shipment to certain jurisdictions where appropriate.

Risk of Loss. Title and risk of loss pass to you upon our delivery of the product to the carrier. We are not responsible for delays, damage, or loss occurring during transit.

Shipping Times. Shipping times are estimates only and are not guaranteed.

8. Returns and Refunds

No Returns on Opened Products. Due to the nature of the products, we do not accept returns of opened, used, or tampered-with products.

Defective or Damaged Products. If you receive a product that is defective, damaged, or materially different from what was ordered, you must contact us at [email protected] within three calendar (3) days of delivery. At our discretion, we may offer a replacement, store credit, or refund.

Order Cancellations. Orders may be cancelled prior to shipment. Once an order has shipped, the cancellation policy no longer applies.

9. Intellectual Property

All content on the Site, including text, graphics, logos, images, product descriptions, certificates of analysis, and the compilation thereof, is owned by CSN Peps or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and view the Site for lawful research and business purposes.

You may not reproduce, distribute, modify, or create derivative works from the Site or its contents without our prior written consent.

The "CSN Peps" name and associated logos are trademarks of CSN Peps LLC.

10. Prohibited Conduct

You agree not to:

1. use the Services or products for any unlawful purpose or in violation of these Terms;
2. misrepresent your identity or intended use of the products;
3. use, resell, transfer, or distribute products for human or veterinary use;
4. make representations that the products are approved or intended for any use other than lawful research purposes;
5. reverse engineer, scrape, or attempt to gain unauthorized access to the Services or our systems;
6. interfere with the proper functioning of the Site; or
7. submit false, misleading, or fraudulent information.

11. Disclaimer of Warranties

We make no representation or warranty that the products will meet your requirements, that the Services will be uninterrupted or error-free, or that any defects will be corrected.

You agree to defend, indemnify, and hold harmless CSN Peps, its officers, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

1. your breach of these Terms;
2. your misuse of the Services or products;
3. your violation of any law or third-party rights;
4. any content you submit or transmit through the Services; or
5. your false representations regarding eligibility or intended use.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

15. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any products purchased through the Site shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable commercial arbitration rules then in effect.

The arbitration shall take place in Bannock County, Idaho, and shall be governed by the Federal Arbitration Act. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for any suspected violation of these Terms. Upon termination, the provisions of these Terms that by their nature should survive shall continue in effect.

17. Modifications

We reserve the right to modify these Terms at any time. The "Last Updated" date at the top reflects the most recent changes. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and CSN Peps regarding the Services and supersede all prior agreements and understandings.
